Jaeckle, Fleischmann & Mugel LLP
Business and Corporate

Business enterprises often require a wide range of legal services on a regular basis. The attorneys in our Business and Corporate practice group recognize the importance of reviewing the strategic goals of each individual client before providing specific services. In this way, our efforts will save the client both time and money.

Our attorneys serve business clients ranging in size from sole proprietorships and professional practices to major corporations. To help the entrepreneur or business executive focus on operations and strategic planning, we work to avoid legal problems or minimize their cost and interference with the conduct of business.

On a routine basis, we coordinate our services with other business professionals retained by our clients.

In addition to addressing specific legal issues, we help to coordinate the efficient provision of legal services to our business clients. In pursuing that goal, we have acted as special and general counsel for both large corporations and small, closely-owned businesses.

Corporate Governance

Board members of public and private companies and not-for-profit organizations continue to fall under regulatory scrutiny and pressure to demonstrate that they operate at the highest level of integrity as they carry out their fiduciary duties. Based on years of experience in the publicly held arena, our corporate governance team provides comprehensive counsel to boards and directors, in the areas of regulatory compliance, board structure and operations.

The attorneys in our Corporate Governance practice group counsel clients in a comprehensive set of areas including board independence and structure, committee charters, code of conduct and ethics, transparency, risk assessment and management. We believe the best practices in board governance require a focus on compliance with principles in addition to compliance with rules. Our attorneys assist clients in creating a company wide culture through the creation of procedures and policies related to operations, reporting and oversight, and set forth the protocol necessary for defined relationships among individuals and groups within the company. We encourage boards to engage in self-evaluation and offer directors education programs by request.

International Business

The successful execution of each international business transaction is unique, requiring the efficient cooperation of experts in several legal disciplines.

Jaeckle Fleischmann's International Business practice group brings together attorneys with extensive experience assisting clients with international operations. We advise clients in the areas of business formation, corporate and financial transactions, mergers and acquisitions, immigration, intellectual property, labor and employment, litigation, securities and tax. We count among our clients a number of international, Canadian and European companies. Using a team approach, we provide our clients with a seamless set of resources that are called upon as needed, each focusing on a different aspect of international business law. In addition to the team of Jaeckle Fleischmann attorneys, as a member of TAGLaw, we can offer our clients an international network of 120 law firms with more than 250 offices and approximately 3000 lawyers in North America, 1200 in Europe, 450 in Latin America, 350 in Asia Pacific and 125 in Africa and the Middle East. Using this network, we can call upon experts in all legal disciplines to assist the Firm's International Business practice group in meeting the needs of clients in specific geographies and jurisdictions.

Labor and Employment

The costs associated with managing a workforce in today's business environment have grown exponentially. Employers of all sizes are subject to complex Federal and State laws that frame and impact decisions and policies related to employees, increasing the risks associated with taking action in the absence of proper legal guidance.

The attorneys in our Labor and Employment practice group represent management exclusively, large employers, serving entrepreneurs, and not-for-profit and public sector entities including colleges, human services agencies, school districts, cities, towns, villages, counties and public authorities. We assist clients in union and non-union settings in a wide variety of industries including heavy and light manufacturing, service, wholesale and retail.

Serving as strategic advisors to senior executives during acquisition and downsizing, we provide counsel related to wage/hour and benefits issues and assist in the development of corporate employee policies, procedures and handbooks. On a day to day basis we provide guidance to human resource and business unit managers on the many different laws encompassing employees' rights. Our goals are to help our clients create and maintain a positive human relations environment in their workplace, and support them in anticipating and preventing employment problems, as well as assisting them to resolve current issues. Should the need for litigation counsel arise, our team is prepared to handle a full range of employment-related litigation matters, in all agencies and courts. If your company operates in a union environment, our labor and employment attorneys are seasoned advisors in the areas of collective bargaining, administration of collective bargaining agreements, grievance and arbitration proceedings.
